These Terms of Service ("Terms") govern your use of the HayBackup website and software ("HayBackup", "we", "us"). By creating an account, subscribing, or using the software, you agree to these Terms.

1. Your account

You must provide accurate information and are responsible for keeping your password and license key secure and for activity under your account. Notify us promptly of any unauthorized use.

2. License to use the software

Subject to these Terms and an active subscription (or the included trial/grace period), we grant you a limited, non-exclusive, non-transferable license to install and use HayBackup on computers you own or control. You may not: resell, sublicense, or redistribute the software; reverse-engineer it except where the law permits; remove notices; or use it unlawfully. All intellectual property in HayBackup remains ours.

HayBackup is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that any backup or restore will be complete or successful in every circumstance.

7. Limitation of liability

To the maximum extent permitted by law, HayBackup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of (or inability to use) the software or service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the event giving rise to the claim. Because no backup system can guarantee against all data loss, you agree to maintain independent copies of critical data.

8. Termination

You may stop using HayBackup at any time. We may suspend or terminate access for breach of these Terms or non-payment.

9. Governing law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in Connecticut.

10. Changes

We may update these Terms; we'll revise the "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes means you accept them.
